The Content Use Policy

As you consider allowing us to publish your created and/or otherwise supplied by you through various social media channels or through direct communication channels, without limitation, any and all material, text, videos, photographs, information, other data submitted, and/or opinions, product or service ratings or reviews, articles, written expressions, in any form or media, and/or any other works of authorship created by you and supplied to us (hereinafter - the Content) in connection with the NAMEE or its services, we want to make sure you know exactly how we intend to use the above-mentioned content.

This Content Use Policy applies to the entire NAMEE website or any of the NAMEE properties in connection with the NAMEE products and services. In addition, to the extent the Content is displayed on the website, direct communication channels, social media in connection with the NAMEE products and services and you hereby agree to be bound by such terms of Content Use Policy or service, agreements, guidelines, instructions or rules provided or posted by NAMEE.

Your consent. If you agree to comply with this Policy You hereby agree, represent and warrant that:

• you are solely responsible for the Content,
• you own all rights in and to the Content and/or have obtained appropriate rights and permissions from any and all other persons and/or entities who own, manage or otherwise claim any rights with respect to such Visitor/Buyer Content,
• you are not a minor and verify that you are at least 18 years of age.
• the use of the Content will not violate the rights, including but not limited to copyright, trademark, patent, trade secret, privacy, publicity, moral, proprietary or other rights, of any third party, or any law, rule or regulation, and the Content is not libelous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, or offensive or otherwise unlawful.

In relation to the Content You agree to this Policy and:

• allow us to use your Content submitted through social media channels by replying with or using in your social media post or post description the hashtag #namee, #namee.books, #namee_books, or using @namee,
• have received our product(s) and you choose to post the Content on our website or social media platforms,
• have posted a review, comment or rating of our product(s) or ordering process on our website either on your own initiative or by following the link in the order follow-up email or
• you have submitted your Content through direct communication channels (e.g. email messaging) and/or you have received our request for the right to use the Content you had posted and you have agreed to them by responding in any affirmative manner;

License. If you agree to comply with this Content Use Policy You hereby grant to NAMEE and its related companies, agents, licensees, sublicensees, contractors, successors, legal representatives, assigns, and third-party service providers, and their respective retail partners, marketing or public relations agencies, and other affiliates, hereinafter - “Authorized Parties”, a worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable, sublicensable right to use the Content in any manner to be determined in the “Authorized Parties'' sole discretion, including, but not limited to, on websites and social media pages operated by the “Authorized Parties”, in promotional emails and advertisements, and in any and all other marketing, promotional, and advertising initiatives, including but not limited to promotions on social media platforms, television and radio advertisements, and in any media now or hereafter known. The “Authorized Parties'' may share, use, display, reproduce, distribute, transmit, create derivative works from, combine with other materials, alter and/or edit the Content in any manner in their sole discretion, with no obligation to you whatsoever.

By sending the Content to NAMEE, you irrevocably give permission to “Authorized Parties'' in accordance with their privacy policies and applicable privacy laws and exclusively for purposes described in this Content use policy (for marketing and related purpose), to take, reproduce, edit, publish, distribute and otherwise use for advertising, trade and/or promotion of NAMEE and its products the Child's appearance, name, likeness, and biographical data as included in the Content and give permission to NAMEE to use the Child’s name and any other personal data in or in connection with the Content. You also waive any right to review and approve the publication or other use of the Content for the above-described purposes either in its original form or as edited by NAMEE now and in the future.

Non-confidentiality. The Content that you submit is deemed non-confidential, and the “Authorized Parties” have no obligation to maintain the confidentiality of any information, in whatever form, contained in any submission, except pursuant to the “Authorized Parties” respective privacy policies. By using NAMEE website or its services, you are consenting to collect, use, disclose, process or transfer any personal information you provide for the “Authorized Parties” in connection with the use of the Content. If you do not agree to the collection, use, and disclosure of your personal information in this way, please do not use NAMEE website or its services or otherwise provide the “Authorized Parties” with personal information.

Data collection and transmission. Your personal information may be transferred to servers located outside the country in which you live or to third parties in other countries so that they may process personal information on the “Authorized Parties” behalf.

By using NAMEE website or its services or otherwise providing the “Authorized Parties” with personal information, you agree to the foregoing collection, use, disclosure, transfer, and processing of your information in accordance with the terms of this Content Use Policy, the Privacy Policy, and applicable data protection laws and regulations.

By submitting the Content to NAMEE, You grant the “Authorized Parties” the right to use your username, real name, image, likeness, descriptions of you, location, or other identifying information, including, but not limited to, your voice, in connection with any use of the Content.

NAMEE engages a limited number of service providers to facilitate the collection and transmission of the Content to the social media channels, promotional materials, and other properties, including photos, text, graphics, audio, video, location information, comments, and other materials from social media sites, for use by NAMEE in connection with its business, including NAMEE product feature, marketing, promotional, advertising, and other consumer-related activities.

Hold Harmless. By submitting the Content to NAMEE you agree to protect, defend, indemnify and hold the “Authorized Parties” and any person acting on their behalf, from and against all losses, costs, liabilities, claims, damages and expenses of every kind and character, in any way, as incurred, resulting from or relating to or arising out of any actions or omissions of you in relation to the Content. To the extent permitted by applicable law, NAMEE and it entities shall not be liable for indirect, incidental, special, consequential, or punitive damages or any loss of profits or revenues, whether incurred directly or indirectly or any loss of data, use, goodwill, or other losses, resulting from the Content or any third party acts regarding the Content, including without limitation any defamatory, offensive or illegal conduct of other content users of third parties; or any content obtained from the Content, or unauthorized access, use or alteration of the Content.

Limitation of liability. In no event shall the liability of NAMEE and its entities exceed greater than the amount you paid NAMEE, if any, in the past six months for its services giving rise to the claim.

The limitation shall apply to every kind and character liability, whether occurred from warranty, purchase contract, tort, including negligence, or otherwise, and whether or not NAMEE and its entities have been informed of the possibility of any such damage, and even if a remedy set forth herein is found to have failed in its essential purpose.

NAMEE rights. The “Authorized Parties” reserve the right at their own discretion to remove any of the Content from their websites and any other their properties.

NAMEE reserves the right to, at any time, at our sole discretion, without advance notice to publish a revised Content Use Policy. We recommend periodically visiting the NAMEE website and getting acquainted with the latest version of the Content Use Policy each time you grant permission or authorization to feature the Content. The changes will take effect as soon as they are published on the NAMEE website.

The herein granted right of NAMEE to use the Content does not constitute an obligation to make use of this right.

Your rights. If you believe any content, including the Content, located, displayed, or used on the NAMEE website or on any of the other NAMEE properties (in connection with the NAMEE products and services), infringes any person’s or entity’s copyright rights, please refer to help@name.com. To help us respond as you expect, please specify that you are making a request with regard to the Content copyright rights.

Provisions validity. If any provision of this Content Use Policy becomes invalid, then that provision will be removed without affecting the rest of the Content Use Policy. The remaining provisions will continue to be valid and enforceable.
